1. As an Authorized User of the Services, you are entirely responsible for maintaining the confidentiality of your user account information. You may not use the account or user name of any other member at any time. You must notify us immediately in the event of any known or suspected unauthorized use of your user account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your or anyone else’s user account information.

  2. You are also entirely responsible for any and all activities which occur under your user account. We will not be liable for any loss that you incur as a result of someone else using your account, either with or without your knowledge. You may also be held liable for any losses incurred by SivaShakti FutureTech Private Limited, its affiliates, officers, directors, employees, consultants, agents and representatives due to someone else’s use of your account.

  3. In order to undertake and carry out the matters set out in this Agreement, Customer must have to submit certain non-public, confidential and/or proprietary information, which will be stored with SivaShakti FutureTech Private Limited solely in connection with the Services. SivaShakti FutureTech Private Limited is committed to protecting your privacy and security. For more information, you should review our Privacy Policy, which are incorporated into these Terms & Conditions by this reference.

  4. Ownership of Data

    Except for the limited rights granted in this Agreement: (i) SivaShakti FutureTech Private Limited hereby retains all rights, title and interest, including all intellectual property rights, in relation to the SivaShakti FutureTech Private Limited, including the work product, and (ii) Customer hereby retains all rights, title and interest in the Customer Data. Customer hereby grants to SivaShakti FutureTech Private Limited and its affiliates a worldwide, irrevocable, perpetual, royalty-free license (i) to exploit without restriction all feedback regarding SivaShakti FutureTech Private Limited; (ii) to use log and other information derived from Customer’s use of the SivaShakti FutureTech Private Limited Service (“Usage Data”) as well as Customer Data in de-identified form, to improve SivaShakti FutureTech Private Limited’s products and services; and (iii) to use all data made available to SivaShakti FutureTech Private Limited by or on behalf of Customer to perform its obligations hereunder. The non-public data, input into the SivaShakti FutureTech Private Limited Service by or on behalf of Customer shall be deemed “Customer Data.” Customer Data does not include public domain or publicly available data, data independently derived by SivaShakti FutureTech Private Limited, or except as expressly described above, data obtained by SivaShakti FutureTech Private Limited from a third party. Except as expressly agreed, SivaShakti FutureTech Private Limited has no obligation hereunder to obtain any third party data or pay any usage fee therefore.

  5. The terms of SivaShakti FutureTech Private Limited’s privacy policy are hereby incorporated by reference. SivaShakti FutureTech Private Limited may remove or restrict access to SivaShakti FutureTech Private Limited’s data including if providing access may violate applicable law, the source of such data becomes unavailable, or a third party brings or threatens legal action. Customer will obtain all permissions or approvals from each applicable data source as may be necessary or required to provide such data to SivaShakti FutureTech Private Limited in connection with the delivery of the SivaShakti FutureTech Private Limited Service and comply with all applicable laws in its performance under this Agreement.
